  1. Clarification

    Babylonprivate.com offers the Member the ability to publish their content over the Babylonprivate.com portal/platform. This content will be sold for private use only.

    By registering with Babylonprivate.com the Member agrees to be bound by these terms and conditions.

    The registration through the Babylon.com is only for those individuals of legal age, being at least 18 (21 in some countries) years of age and legally competent. Babylonprivate.com reserves the right to decline any Member application for any reason.

    Member warrants that he or she has provided Babylonprivate.com with accurate, complete, and updated information and agrees to correct and update that information to ensure its accuracy and completeness at all times.

    Member is entirely responsible for any and all activities conducted through his account.

    By uploading content, Member warrants that the content does not depict subject matter in a manner that violates any laws.

    By uploading content, Member warrants that the uploading was not done with the intent to harass, threaten, embarrass or cause distress, unwanted attention, or discomfort upon another person or entity.


  2. Copyright.
    Member retains the copyright of the content uploaded on Babyloprivate.com website. Member may not upload content to which he does not own all copyrights.

    By content uploading Member agrees to give Babylonprivate.com irrevocable nonexclusive royalty-free rights to use the content for any purpose including publication, display, modification, and creation of derivative works. Babylonprivate.com has the right to license any content up until the time Member removes the content from the Website.
    The Member understands and agrees that his content maybe used for, but not limited to, promotional purposes and advertising.

    Member may not select or use a Member name of another person (unless it is also his own name), or a name, which violates any third party's trademark right, copyright, or other proprietary right. Babylonprivate.com reserves the right to delete any vulgar or otherwise offensive Member name, or to require deletion thereof.

    If Babylonprivate.com has a reason to suspect infringement on a Copyright, Babylonprivate.com can demand written proof of ownership of the material in question. Babylonprivate.com must receive this proof in original document form Member in no more than 5 working days after the document request. If said Member has failed to provide the required documents before the 5 day deadline, Babylonprivate.com reserves the right to undertake the following:

  1. Content regulations

    Content can only be published by verified Members. Only those individuals who have confirmed their age and identity by providing Babylonprivate.com with the appropriate ID may appear in the content published on the babylonprivate.com site. Babylonprivate.com reserves the right to refuse publishing of any content on Babylonprivate.com sites for any reason.

    The Member must confirm his age by providing a copy of his ID, Passport or other legal document to Babylonprivate.com. This copy is to be sent by e-mail, fax, mail or uploaded by appropriate web form on Babylonprivate.com.

    Babylonprivate.com can not allow any child porn, violence in any form, torture or humiliation in any form, animal sex, necro, blood, scat, vomit.

    By producing and publishing of his content the member shell consider the laws and limits applicable in his country and community.

  2. Share of profits

    Member receives 40% of the revenues generated from the sale of his content. The Member, within certain limits, is allowed to choose the price for which his content will be sold.

    Revenue is based wholly on statistics generated by Babylonprivate.com
    Babylonprivate.com does not guarantee the availability or the accuracy of the above-mentioned statistics.

    Payment will be processed on the 10th of the month following the actual month.
    Babylonprivate.com reserves the right to withhold payments to those Members who have disregarded or broken these terms.

    It is the Member's duty to report all income from Babylonprivate.com to their local tax revenue service and to pay taxes on this income accordingly.

    Payment will be made when the Minimum payout limit, set up by Member in his profile has been reached. Income will be accumulated till the minimum payout has been reached.

    Member warrants that he has provided Babylonprivate.com with accurate, complete, and updated financial information and agrees to correct and update that information to ensure its accuracy and completeness at all times. Babylonprivate.com does not take any responsibility for payout failure caused by incorrect Member’s financial information.


  3. Indemnification

    Member shall indemnify, defend and hold harmless Babylonprivate.com, its officers, directors, employees, partners, associates, affiliates, joint ventures, agents and representatives, from any and all claims based on allegations which, if true, would constitute a breach of any of the foregoing warranties, and any and all liabilities, losses, damages, expenses (including attorneys’ fees and costs) and damages in consequence thereof. Babylonprivate.com reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification, which shall not excuse Member’s indemnity obligations.


  4. Disclaimer

    Babylonprivate.com expressly disclaims all warranties and conditions of any kind, either express or implied, including without limitation any implied warranties or conditions of merchantability, fitness for a particular purpose, non-infringement of third party rights, and those arising from a course of dealing or usage of trade.

    Babylonprivate.com , its licensors, and subcontractors do not warrant any connection to, compatibility with, transmission over, nor results or use of, any network connection or facilities provided (or failed to be provided) through Babylonprivate.com . Member is responsible for assessing its own computer and transmission network needs, and the results to be obtained there from.

    Babylonprivate.com assumes no responsibility for any actions or liabilities arising from the possession or use of images, photos, files or software obtained from Babylonprivate.com .

    Babylonprivate.com makes no warranty that service will be uninterrupted, timely, secure, or error free. Babylonprivate.com makes no warranty as to the use or the results that may be obtained from the use of Babylonprivate.com.

    Babylonprivate.com makes no warranty with respect to any related software or hardware used or provided by Babylonprivate.com in connection with Babylonprivate.com . Any patent, copyright, trademark, trade secret or warranty infringements, whether actual or alleged, are the direct responsibility of the manufacturer of said hardware or software product.

The collected financial information is used to check the members' qualifications, to bill the member for services ordered and for payout processing.

    Babylonprivate.com does not refund credit (coins) for any purchased content. Member is responsible to make sure if settings of his computer, network, or internet access allow to view, play or download the content published on Babylonprivate.com website.


  7. Final Provision

    Termination
    Either Member or Babylonprivate.com may terminate member's account with Babylonprivate.com at any time with or without cause. Member can terminate his account with Babylonprivate.com by notifying Babylonprivate.com by e-mail (to address info@babylonprivate.com). Your notice of termination will be effective upon receipt by Babylonprivate.com, or upon receipt of confirmation if confirmation is requested.


    Legal Venue
    The venue for all legal disagreements is the headquarters of Babylonprivate.com operating company.

    THE MEMBER ACKNOWLEDGES THAT HE HAS READ THIS AGREEMENT, UNDERSTANDS IT, AND AGREES TO BE BOUND BY ITS TERMS AND CONDITIONS.

    This Agreement comprises the entire agreement between Babylonprivate.com and Member, and supersedes any prior agreements. Babylonprivate.com reserves the right, at its discretion, to revise this Agreement at any time, and such revision shall be effective immediately upon the posting of the revised Agreement at the Website. Member's continued use of Babylonprivate.com portal and following posting on the Website shall be deemed to be acceptance of all such revisions.
